1.1 These Terms of Use apply to the Simulation Accommodation Optimization Platform (the “Service”) operated by Trip Co., Ltd. (hereinafter referred to as the “Company” or the “Platform”). These Terms set forth the matters that users of the Service must comply with and the relationship between the User and the Company.
1.2 By using the Service, the User agrees to comply with these Terms of Use, which constitute a legally binding agreement.
2. Definitions and Scope
2.1 These Terms apply to the rights and obligations of the User upon registration on the Platform and in connection with their use of the Service.
2.2 A “User” means an individual or legal entity who registers with the Platform and uses the Service.
2.3 The purpose of the Platform is to improve the commercial performance and visibility of accommodation facilities through lawful data collection and promotional activities. All promotional activities must comply with the Australian Consumer Law (ACL) and must not be false, misleading, or deceptive.
3. Registration and Use
3.1 The User must register in accordance with the requirements of the Platform and provide accurate and truthful personal or corporate information.
3.2 By registering and using the Service, the User agrees to comply with these Terms.
3.3 The User is granted the right to use the services provided by the Platform under these Terms.
3.4 The collection and use of User information will comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
4. Data Collection and Promotional Activities
4.1 The User must complete the promotional activities assigned by the Platform within a reasonable period, generally within 24 hours, to ensure the continuity and effectiveness of data collection.
4.2 The User must follow the schedule set by the Platform and must not perform activities in a manner that compromises data integrity.
4.3 The User must not publish false information on social media or other platforms. All promotional content must comply with Australian advertising and marketing regulations.
4.4 The User must follow the Company’s instructions regarding tasks. If in doubt, the User should contact the Company without delay.
5. Data Completion and Withdrawal Requirements
5.1 The User must complete one full dataset as required by the Company, which consists of 24 accommodation promotional activities, ensuring accuracy and completeness.
5.2 If a promotional activity requires advance payment, such payment will be treated as a deposit. Upon completion of the tasks, the deposit will be refunded together with any applicable reward.
5.3 If the User withdraws from the promotional activities midway, the Company may charge a reasonable administrative fee. Such fee must be proportionate to the actual loss incurred and shall not exceed a reasonable amount.
6. Premium Accommodation Booking Rewards
6.1 When booking premium accommodation, the User will receive a reward equal to 5% of the booking amount.
6.2 A registered User may receive up to 10 rewards for premium accommodation bookings per day.
6.3 Rewards will be granted upon confirmation of booking. The User is solely responsible for any tax liabilities arising from such rewards.
7. Confidentiality Obligations
7.1 The User must keep confidential all trade secrets and related information provided by the Company and must not disclose such information to third parties.
7.2 The confidentiality obligation does not apply to disclosures required by law, court order, or government authority.
7.3 The confidentiality obligation shall survive termination of these Terms.
8. Breach of Terms
8.1 If the User breaches these Terms, the Company may take appropriate measures, including but not limited to warnings, suspension of accounts, or termination of the contract.
8.2 If the breach causes damage to the Company or other Users, the User shall be liable for compensation. Any compensation shall be proportionate to the actual loss suffered and shall not constitute punitive damages.
9. Governing Law and Dispute Resolution
9.1 These Terms are governed by the laws of the Commonwealth of Australia and the laws of the State of New South Wales.
